Terms of service.

Overview

These Terms of Service ("Terms") govern your access to and use of the PhronEdge Energy platform ("Service"), operated by PhronEdge LLC ("PhronEdge," "we," "us"). By creating an account or using the Service, you agree to these Terms.

PhronEdge Energy is a regulatory intelligence platform for the energy sector. It provides AI-assisted compliance analysis, obligation tracking, regulatory feed monitoring, and governance tools. The Service is designed for compliance professionals and is not a substitute for legal advice.

Eligibility

You must be at least 18 years old and have the legal authority to bind your organization to these Terms. By creating a workspace, you represent that you have such authority.

The Service is intended for business use by organizations operating in regulated energy markets. It is not intended for personal or consumer use.

Accounts and access

Account creation. You create an account by signing in with Google or Microsoft. Your account is linked to the email address used during sign-in. You are responsible for maintaining the security of your authentication credentials.

Workspaces. Each account belongs to one or more workspaces. A workspace is an isolated environment for your organization's data, members, and subscriptions. Workspace administrators control member access and roles.

Member roles. Administrators can invite members with specific roles (Admin, Analyst, Auditor, Viewer). Each role determines feature access within the workspace. Administrators are responsible for managing their team's access appropriately.

Integration channels. The Service may be accessed through web, Slack, and Microsoft Teams. Integration access is tied to your workspace membership and the email address associated with your account.

Subscriptions and billing

Plans. The Service offers Starter, Pro, and Enterprise subscription plans. Each plan is priced per seat per month. Current pricing is available at phronedge.com/energy/pricing.

Per-seat billing. You are billed for the number of members in your workspace. Each member counts as one seat. Adding a member increases your seat count starting on the next billing cycle. Removing a member decreases your seat count starting on the next billing cycle.

Deactivated members. Deactivating a member suspends their access but retains their seat for billing purposes. To stop being billed for a seat, the member must be removed, not deactivated.

Billing cycle. Subscriptions are billed monthly or annually, depending on the plan selected. There is no proration. Charges reflect the seat count at the start of each billing cycle.

Payment. Payment is processed by Stripe. You authorize us to charge your payment method on file at the start of each billing cycle. Failed payments are retried per our payment processor's retry schedule. If all retries fail, your subscription may be cancelled.

Cancellation. You may cancel your subscription at any time through the Plan settings or Stripe customer portal. Cancellation takes effect at the end of the current billing cycle. You retain access until then. No refunds are issued for partial billing periods.

Price changes. We may change pricing with 30 days written notice to the email address on file. Continued use after the effective date constitutes acceptance of the new pricing.

Acceptable use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service to violate any applicable law or regulation
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated tools to scrape, crawl, or extract data from the Service beyond the provided API
  • Interfere with or disrupt the Service or its infrastructure
  • Share your account credentials or allow unauthorized access to your workspace
  • Use the Service to store or transmit malicious code
  • Resell or redistribute the Service without written authorization

We reserve the right to suspend or terminate access for violations of this section.

API and MCP access

Availability. REST API and MCP endpoint access is available on the Enterprise plan only. API access is metered and subject to usage limits defined in your Enterprise agreement.

API keys. You are responsible for securing your API keys. Do not embed API keys in client-side code, public repositories, or shared documents. If you believe a key has been compromised, rotate it immediately in the Developers section of the platform.

Rate limits. API and MCP requests are subject to rate limiting. Exceeding rate limits may result in temporary throttling. Sustained abuse may result in suspension of API access.

Programmatic use. You may integrate the API and MCP endpoints into your internal tools and workflows. Redistribution of API access to third parties or building a competing service on top of the API is prohibited without written authorization.

Agent integration. If you connect AI agents to the platform via MCP, those agents are subject to the same acceptable use restrictions as human users. You are responsible for the actions performed by agents operating under your API credentials.

Data ownership

Your data. You retain all rights to data you upload to the Service, including documents, entity profiles, and organizational information. We do not claim ownership of your data.

Regulatory content. The regulatory documents, filings, and guidance indexed by the Service are sourced from public regulatory bodies (NERC, FERC, ERCOT, PUCT, and others). PhronEdge does not claim ownership of this content. Our analysis, summaries, and cross-references of this content are proprietary.

AI-generated outputs. Responses generated by the Service's AI capabilities (chat answers, crosswalk mappings, obligation analysis) are provided for your use within the scope of your subscription. These outputs are derived from publicly available regulatory content and your uploaded documents.

No training on your data. We do not use your documents, queries, or organizational data to train any machine learning models. Your data is used solely to provide the Service to you.

Intellectual property

The Service, including its software, design, algorithms, and documentation, is the intellectual property of PhronEdge LLC and is protected by applicable intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable right to access and use the Service during the subscription term.

Governance policies you create using the Studio feature belong to your organization. The policy language formats (YAML, Rego, JSON) and the signing mechanism are tools provided by the Service; the policy content is yours.

Confidentiality

Each party agrees to protect the other's confidential information with the same degree of care it uses for its own confidential information, but no less than reasonable care. Confidential information includes business plans, technical data, customer lists, and any information marked as confidential.

Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party without restriction.

Service availability

We aim to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

We will make commercially reasonable efforts to notify you of planned maintenance in advance. For Enterprise customers, service level commitments are defined in the applicable Enterprise agreement.

The Service depends on third-party infrastructure providers (Google Cloud Platform) and regulatory data sources. Disruptions to these upstream services may affect availability.

Limitation of liability

Disclaimer. The Service is provided "as is" and "as available." We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Regulatory information. The Service provides regulatory intelligence for informational purposes. It is not legal advice. You are responsible for verifying any regulatory information before relying on it for compliance decisions. PhronEdge is not liable for regulatory penalties, fines, or losses arising from reliance on the Service's outputs.

Liability cap. To the maximum extent permitted by law, PhronEdge's total liability for any claims arising from or related to these Terms or the Service is limited to the amount you paid for the Service in the twelve months preceding the claim.

Exclusion of damages. In no event will PhronEdge be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or business opportunities, regardless of the theory of liability.

Indemnification

You agree to indemnify and hold harmless PhronEdge, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

Termination

By you. You may cancel your subscription and close your account at any time through Settings. Cancellation takes effect at the end of the current billing cycle.

By us. We may suspend or terminate your access if you violate these Terms, fail to pay for the Service, or if we are required to do so by law. We will provide reasonable notice before termination except in cases of security threats or legal requirements.

Effect of termination. Upon termination, your access to the Service ends. You may export your data before termination using the data export feature in Settings. We retain your data for 30 days after termination to allow for recovery, after which it is permanently deleted.

Changes to these terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, you may cancel your subscription before the effective date.

Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes arising from these Terms or the Service will be resolved in the state or federal courts located in Dallas County, Texas.

If you are located in a jurisdiction where mandatory local consumer protection laws apply, nothing in these Terms limits your rights under those laws. For customers in the European Union, the European Commission's online dispute resolution platform is available at ec.europa.eu/odr.
